Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the use of the website thinkersgk.com and the provision of IT services by Thinkers GK (合同会社 Thinkers) ("Thinkers GK," "we," "our," or "us"), an IT services company headquartered in Tokyo, Japan. By using this website or engaging our services, you agree to these Terms.

2. Services

Thinkers GK provides business-to-business IT services, including but not limited to IT support, field engineering, cybersecurity, cloud consulting, device lifecycle management, IT asset disposal (ITAD), and technical staffing. Our services are intended for corporate clients, not consumers.

3. Quotations and Engagements

Paid work is performed on the basis of a written quotation. Each quotation states the scope, deliverables, schedule, assumptions, expenses, tax handling, and payment terms for that engagement. A quotation accepted by the client, together with these Terms, forms the agreement for that engagement. Where a separately signed agreement or statement of work exists, its terms prevail over these Terms to the extent of any conflict.

4. Fees and Payment

Fees, billing structure (fixed-fee, milestone-based, monthly support, day-rate, or otherwise), and payment deadlines are stated in the applicable quotation or invoice. Unless otherwise agreed, invoices are payable by the due date stated on the invoice. Late payment may result in suspension of services and may accrue late charges as permitted under Japanese law.

5. Client Responsibilities

The client agrees to provide timely access to the systems, premises, information, and personnel reasonably required for delivery of the services, and to ensure it has the right to grant such access. Project schedules assume the client meets its dependencies as agreed.

6. Intellectual Property

Unless otherwise stated in the applicable quotation, deliverables created specifically for the client transfer to the client upon full payment. Pre-existing materials, tools, templates, and know-how of Thinkers GK remain the property of Thinkers GK, with the client receiving a non-exclusive license to use them as part of the deliverables.

7. Confidentiality

Each party will keep the other party's non-public business and technical information confidential and use it only for the purpose of the engagement. This obligation survives the end of the engagement. Separate non-disclosure agreements, where signed, take precedence.

8. Data Protection

Personal information is handled in accordance with our Privacy Policy and Japan's Act on the Protection of Personal Information (APPI). For ITAD engagements, data destruction is performed and documented as specified in the applicable quotation.

9. Warranties and Disclaimers

We perform services with reasonable professional skill and care consistent with industry standards in Japan. Except as expressly stated in a quotation, the website and its content are provided "as is" without warranties of any kind. We do not warrant that the website will be uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by Japanese law, Thinkers GK's total liability arising out of or relating to an engagement is limited to the fees paid by the client for that engagement, and neither party is liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability for willful misconduct or gross negligence.

11. Termination

Either party may terminate an engagement as set out in the applicable quotation or agreement. Work performed and expenses properly incurred up to the effective date of termination remain payable.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising out of or in connection with these Terms or an engagement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the most recent revisions. Engagements are governed by the Terms in effect on the date the applicable quotation is accepted.
